Effective date: 9 June 2026

1. General

1.1 These Terms and Conditions ("Cashback Terms") govern the OKX Card Cashback Program ("Program") offered by OKX Australia Pty Ltd, ABN 22 636 269 040 ("OKX Australia", "we", "us", "our"), as authorised representative of Bano Pty Ltd (ACN 643 260 431, AFSL 536984) ("Issuer").

1.2 These Cashback Terms are supplementary to, and must be read together with, the OKX Card Product Disclosure Statement ("PDS") and the Terms and Conditions of the OKX Card. In the event of any inconsistency between these Cashback Terms and the PDS or Card Terms and Conditions, the PDS and Card Terms and Conditions prevail.

1.3 By participating in the Program, you agree to be bound by these Cashback Terms. If you do not agree, you must not participate in the Program.

1.4 The Program commences on the Effective Date and continues until terminated by OKX Australia in accordance with clause 7.

1.5 OKX Australia may amend these Cashback Terms at any time by publishing updated terms at https://www.okx.com/en-au/help/okx-card-cashback-program-terms-and-conditions-au. We will use reasonable efforts to notify you of material changes via the OKX App or by email. Your continued participation in the Program after any amendment constitutes acceptance of the amended terms.

1.6 All references to dollar amounts in these Cashback Terms are to US dollars unless otherwise stated.

2. Eligibility

2.1 The Program is open to all OKX Card holders who meet the following criteria:

  • you hold a valid and active OKX Card;

  • you hold an active OKX Pay Wallet;

  • your OKX account is in good standing and is not suspended, restricted or under investigation;

  • you are 18 years of age or older; and

  • you are a resident of Australia.

2.2 You are not eligible to participate in the Program if:

  • your OKX account has been terminated or suspended;

  • you are a resident of a jurisdiction in which OKX does not offer its services;

  • you are the subject of any legal proceedings, insolvency or bankruptcy action; or

  • OKX Australia has determined, in its reasonable discretion, that your participation in the Program would be contrary to any applicable law, regulation or OKX Australia policy.

2.3 OKX Australia reserves the right to verify your eligibility at any time and to exclude you from the Program if you do not satisfy the eligibility criteria.

3. Cashback Mechanics

3.1 Eligible Card transactions will earn cashback at the applicable rate set out in clause 4 below.

3.2 Cashback is calculated on the USD-equivalent transaction amount (after the Mastercard foreign exchange conversion, if applicable) and before the application of the OKX Australia conversion spread.

3.3 Cashback is paid in USDG to your OKX Pay Wallet.

3.4 Cashback is credited once the original Card transaction has been settled (typically 1 to 5 business days after the transaction). You will see a pending cashback amount in the OKX App immediately after the transaction is made. The pending amount will be confirmed and credited to your Wallet once settlement is complete.

3.5 Cashback is calculated and credited automatically. You do not need to take any action to claim cashback, other than making eligible transactions with your Card.

3.6 Cashback amounts are rounded down to the nearest 0.01 USDG. The minimum cashback amount per transaction is 0.01 USDG.

4. Cashback Rate and Limits

4.1 The cashback rate for Eligible Transactions is determined by your VIP tier, as set out in the table below. Your VIP tier.

4.2 The cashback rate and monthly cashback cap applicable to each VIP tier are as follows:

4.3 Once you reach the applicable monthly cashback cap for your VIP tier, no further cashback will be earned for the remainder of that calendar month. The cap resets on the first day of each calendar month.

4.4 OKX Australia reserves the right to change the cashback rate and limits at any time by updating these Cashback Terms. Changes to the cashback rate or limits will take effect from the date specified in the updated terms.

5. Eligible Transactions

5.1 A transaction is an "Eligible Transaction" if:

  • it is a purchase of goods or services made using your OKX Card;

  • it is funded from USDG held in your OKX Pay Wallet;

  • it is successfully settled through the Mastercard network; and

  • it is not an Excluded Transaction (see clause 6 below).

5.2 Where a transaction is funded from a combination of USDG and other stablecoins (such as USDC or USDT), cashback is earned only on the USDG portion of the transaction. The portion funded from other stablecoins does not earn cashback.

5.3 A transaction is an Eligible Transaction only if it is a completed and settled transaction. Pre-authorisations, pending transactions, declined transactions and reversed transactions do not earn cashback.

5.4 If a transaction that has earned cashback is subsequently refunded (in whole or in part), OKX Australia may deduct the corresponding cashback amount from your Wallet or offset it against future cashback credits.

6. Excluded Transactions

6.1 The following transactions are not Eligible Transactions and do not earn cashback ("Excluded Transactions"):

  • transactions at merchants in the Mastercard Merchant Category Codes (MCCs) listed at https://www.okx.com/en-au/help/okx-card-restricted-merchant-categories-au;

  • ATM cash withdrawals (when available);

  • transactions related to gambling, betting, lottery tickets, casino gaming chips, off-track betting, or online gambling;

  • purchases of gift cards, prepaid cards or stored value cards;

  • purchases of cryptocurrencies or digital assets;

  • government service payments (including fines, taxes, and court costs);

  • money orders, wire transfers, or other cash-equivalent transactions;

  • transactions that are subsequently reversed, refunded or charged back;

  • transactions that OKX Australia reasonably determines to be fraudulent, abusive or in breach of the Card Terms and Conditions; and

  • any other transaction categories that OKX Australia specifies from time to time on its website or in the OKX App.

6.2 The list of Excluded Transactions may be updated by OKX Australia from time to time. The current list of excluded MCCs is available at https://www.okx.com/en-au/help/okx-card-restricted-merchant-categories-au.

7. Modification, Suspension and Termination

7.1 OKX Australia may, at its discretion and at any time:

  • modify the cashback rate, monthly cap, eligibility criteria, or any other aspect of the Program;

  • suspend the Program (in whole or in part) for any period; or

  • terminate the Program entirely,

by providing you with at least 30 days' notice via the OKX App or by email, unless the modification, suspension or termination is required by law or regulation, in which case it may take effect immediately.

7.2 OKX Australia may suspend or terminate your participation in the Program immediately and without notice if:

  • you cease to satisfy the eligibility criteria in clause 2;

  • OKX Australia reasonably suspects that you have engaged in fraud, abuse or manipulation of the Program (including structuring transactions to maximise cashback);

  • your OKX account or Card is suspended or terminated for any reason; or

  • OKX Australia is required to do so by law, regulation or a direction from a regulator.

7.3 If OKX Australia terminates or suspends your participation, any pending cashback credits for Eligible Transactions that have already settled will still be credited to your Wallet, unless the termination is due to fraud, abuse or manipulation, in which case OKX Australia may withhold or reverse any pending or previously credited cashback.

8. Clawback

8.1 OKX Australia may deduct from your Wallet, or offset against future cashback credits, any cashback that was:

  • credited in error;

  • credited in respect of a transaction that is subsequently refunded, reversed or charged back;

  • credited to a participant who was not eligible for the Program at the time of the transaction; or

  • obtained through fraud, abuse or manipulation of the Program.

8.2 There is no time limit on OKX Australia's right to recover cashback under clause 8.1. If a transaction is refunded at any time after cashback has been credited, OKX Australia may recover the corresponding cashback.

8.3 OKX Australia will use reasonable efforts to notify you before or promptly after exercising its rights under this clause 8, unless doing so would compromise any investigation or would be contrary to law.

9. Tax

9.1 Cashback credited to your Wallet may have tax implications. You are responsible for determining whether any tax obligations arise from cashback you receive and for meeting those obligations.

9.2 OKX Australia does not provide tax advice. You should obtain your own independent tax advice in relation to cashback received under the Program.

9.3 OKX Australia may be required to report cashback payments to relevant tax authorities.

10. Liability

10.1 To the maximum extent permitted by law, OKX Australia is not liable for any loss, damage or expense arising from or in connection with:

  • any delay in crediting cashback to your Wallet;

  • any modification, suspension or termination of the Program;

  • any error in calculating cashback, provided OKX Australia corrects the error within a reasonable time; or

  • any inability to earn cashback due to circumstances beyond OKX Australia's reasonable control.

10.2 Nothing in these Cashback Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded, restricted or modified under the Australian Consumer Law.

10.3 To the extent that OKX Australia's liability cannot be excluded, OKX Australia's liability is limited to re-crediting the relevant cashback amount to your Wallet.

11. Privacy

11.1 OKX Australia collects, uses and discloses your personal information in connection with the Program in accordance with the OKX Australia Privacy Policy, available at www.okx.com/en-au.

11.2 By participating in the Program, you acknowledge that OKX Australia may use your transaction data to calculate and credit cashback, to verify eligibility, and to detect fraud or abuse of the Program.

12. Disputes

12.1 If you have a question or dispute about cashback credited (or not credited) under the Program, you may contact OKX Australia via the OKX App chat .

12.2 OKX Australia will investigate your query and respond within a reasonable time. If you are not satisfied with the outcome, you may follow the complaints procedure set out in the PDS.

12.3 OKX Australia's determination of any matter arising under these Cashback Terms (including eligibility, cashback calculations, and whether a transaction is an Excluded Transaction) is final, subject to any rights you may have under the Australian Consumer Law or through the Australian Financial Complaints Authority (AFCA).

13. General

13.1 These Cashback Terms are governed by the laws of New South Wales, Australia.

13.2 If any provision of these Cashback Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.

13.3 OKX Australia's failure to exercise or delay in exercising any right under these Cashback Terms does not operate as a waiver of that right.

13.4 The Program is not transferable. You must not attempt to transfer, assign or sell any cashback or any right to receive cashback under the Program.

13.5 These Cashback Terms do not create any partnership, joint venture, employment or agency relationship between you and OKX Australia.

14. Definitions

"Card" means the OKX Card, a virtual prepaid Mastercard issued by the Issuer and distributed by OKX Australia, as described in the PDS.

"Cashback Terms" means these terms and conditions.

"Effective Date" means 9 June 2026.

"Eligible Transaction" has the meaning given in clause 5.1.

"Excluded Transaction" has the meaning given in clause 6.1.

"Issuer" means Bano Pty Ltd (ACN 643 260 431, AFSL 536984).

"OKX App" means the OKX mobile application.

"OKX Australia" means OKX Australia Pty Ltd, ABN 22 636 269 040.

"PDS" means the Product Disclosure Statement for the OKX Card.

"Program" means the OKX Card Cashback Program described in these Cashback Terms.

"USDG" means Global Dollar, a US dollar-denominated stablecoin issued by Paxos International SAGL.

"Wallet" means your OKX Pay Wallet, as defined in the PDS.
